ARTICLE I
This club shall be known as the GULF COAST BICYCLE CLUB, INC., Biloxi, Mississippi.
ARTICLE II
Members shall be riders of bicycles, persons actively connected with the trade, or bicycle enthusiasts.
Only
active members shall be entitled to vote on club issues.
Active Member: any dues paying member.
ARTICLE III
The officers of the club shall be: President, Vice President, Secretary, and Treasurer. The Board shall consist of
at least five members, but not more than eight, to be appointed by the club officers. These officers and Board
Members shall constitute the Executive Board.
ARTICLE IV
The duties of the President shall be:
• Preside at all meetings of the club
• Have general supervision of club affairs
• Appoint any person or committee not otherwise ordered by the club
• Personally represent the club on proper occasions and business contracts
• Assist all other club officers of the club in their records, correspondence and other duties
• Promote interest on the part of each member in the club life and activities
• Vote only when one vote is needed to break a tie
ARTICLE V
The duties of the Vice President shall be to:
• Perform the duties of the President in their absence
• Promote interest on the part of each member in the club life and activities
• Assist in the handling club socials, parties and other functions
ARTICLE VI
The duties of the secretary shall be to:
• Keep records of the meeting of the club
• Send notices of regular or special meetings
• Handle all club correspondence
• Perform such duties as generally fall to that office
ARTICLE VII
The duties of the Treasurer shall be to:
• Collect dues from all active members
• Collect all other money due to the club
• Make all payments from club funds when ordered by the club
• Keep an account of all club money matters
• Provide a statement of all club funds when called upon the club
ARTICLE VIII
The duties of the Executive Board shall be to:
• Act for the club in all matters ordered by the club
• Make final decisions upon members expulsions
• Properly investigate and present to the club all business and important activity situations
• Have general control over all club matters
ARTICLE IX
All elective officers shall be filled annually and all officers shall hold office for one year or until their
successors are elected and qualified.
ARTICLE X
Regular meetings of the club shall be held at date and times agreed upon by a majority vote of the active
members present. The president may call a meeting at any time.
ARTICLE XI
Fifty percent of active members, in good standing, shall constitute a quorum for the transaction of club
business.
ARTICLE XII
This constitution may be amended or added. Proposed amendments or additions must be submitted in writing
at a regular meeting and voted on the following meeting. A two thirds majority vote of all active members
shall be required to pass an amendment or addition.
BY-LAWS
1. The order of business shall be:
1. Roll call
2. Reading minutes of previous meetings
3. Report of officers
4. Old/unfinished business
5. New business
2. The club dues shall be $15 per year for individuals and $20 per year for families. The dues for each year
shall be paid no later than February 15.
3. Before any bills can be paid, bills must be voted on and approved by the Executive Board. Checks will
require the signature of two (2) officers, the President and Treasurer or the Vice President and Treasurer.
4. Only active members shall be eligible to hold office in the club and vote in elections.
5. All active members shall be entitled to club sponsored events. Members must first be approved by a
majority of the club to represent the club in competitive events.
6. A member may be expelled for conduct unbecoming a member of the club, but charges must first be made
in writing and the accused member given a hearing before the Executive Board. The Executive Board shall
take evidence and report its findings to the club with the recommendation that the charges be considered as
proven and the accused members be expelled, or the charges be considered not proven and the accused
member remain a member of the club. The club shall thereupon take a vote to decide whether or not the
recommendation of the Executive Board shall be adopted. It shall require a two thirds vote of the active
members present and entitle to vote to veto the recommendation of the Executive Board.
7. Amendments to the adopted constitution and by-laws may be recommended by any active club member and
require a two thirds vote of the active members.
